Golden Lighting Terms & Conditions
Effective Date: April 12, 2025
These Terms & Conditions govern all transactions with Golden Dragon Association, Inc. dba Golden Lighting ("Golden Lighting"). By placing an order, the customer agrees to the following terms, which supersede any prior policies or agreements.
1. Credit & Finance
1.1 Credit Approval
- New accounts require a completed and signed credit application.
- Golden Lighting complies with the Equal Credit Opportunity Act (ECOA). We do not discriminate based on race, color, sex, age, marital status, national origin, or religion.
1.2 Payment Terms
- Standard terms are Net 30 days from the invoice date.
- Payments must be made in U.S. Dollars to:

1.3 Late Payment & Collections
- Invoices over 60 days past due may be referred to collections.
- Customer agrees to pay all collection costs, including attorney’s fees.
- Golden Lighting reserves the right to revoke credit, delay shipments, or close accounts for past-due invoices.
1.4 Returned Payments
- Returned checks/EFTs incur fees based on Florida law:
- $30 for payments up to $300
- $40 for $300–$500
- $50 or 5% of value (whichever is greater) for payments over $500
- Returned amounts and fees are due within 15 days of notification.
- After three (3) returned payments, Golden Lighting may refuse check or EFT payment methods.
2. Pricing & Orders
2.1 Pricing
- All prices are subject to change without notice.
- Possession of a price sheet does not constitute a sales agreement.
2.2 Order Changes
- Changes to orders must be submitted before 3:00 PM ET on the day of order.
- For orders placed after 3:00 PM, changes must be submitted by 9:00 AM the next business day.
2.3 Order Discrepancies
- Invoice discrepancies must be reported within 15 days of invoice date.
- Credits and overpayments not reconciled within 30 days may be applied to the oldest open balance.
3. Shipping & Freight
3.1 Carriers & FOB Terms
- Golden Lighting reserves the right to select carriers.
- All shipments are FOB Origin (Golden Lighting warehouse).
3.2 Full Freight Allowed (FFA)
- Orders over $1,250 net qualify for FFA within the continental U.S.
- Expedited shipping and special services (e.g., lift gate, residential delivery) are not covered under FFA.
3.3 Special Shipping Charges
- Customer is responsible for:
- Residential delivery surcharges
- Lift gate service fees
- Customs and brokerage fees
- Re-delivery or re-consignment charges
- Drop ship fees (see Section 5.3)
3.4 Freight Inspection
- Customer must inspect and count all cartons at delivery.
- Visible damage or shortage must be noted on the carrier’s delivery receipt.
- Concealed damage must be reported within 5 business days of delivery.
4. Returns & Exchanges
All return and exchange terms are outlined in our Returns, Exchanges & Shipping Policy.
4.1 Return Authorization
- Returns require a Return Goods Authorization (RGA) issued by Golden Lighting.
- Unauthorized returns or returns without an RGA number will be refused.
4.2 Return Conditions
- Items must be uninstalled, unused, in original packaging, and complete with all parts.
- Custom, clearance, and final-sale products are not returnable.
- Return shipping is the responsibility of the customer unless otherwise stated.
4.3 Restocking Fees
- A 25% restocking fee may be applied to B2B returns, late returns, or returned items not in resalable condition.
5. Dealer & B2B Terms
5.1 Past Due Accounts
- Orders for accounts with a past-due balance will not ship until the account is current.
- Past due accounts may be reported to credit agencies.
5.2 Freight Claims (B2B)
- Dealers must report freight damage or loss within 30 days of receipt.
- All claims must be submitted with invoice, PO, photos, and carrier documentation.
5.3 Drop Shipments
- A $25 fee applies for drop-ship orders sent directly to end users.
6. Warranty & Defects
6.1 Warranty Coverage
- Golden Lighting provides a limited warranty covering:
- 1 year structural and wiring defects (non-LED)
- 5 years on integrated LED boards and drivers
- 6 months finish warranty
6.2 Defective Product Claims
- Claims must be submitted with proof of purchase and supporting documentation.
- Golden Lighting will, at its discretion, repair, replace, or credit defective items.
- Labor or installation costs are not reimbursed.
6.3 Damage from Installation or Use
- Damage resulting from improper installation, abuse, or environmental factors is not covered.
- Golden Lighting is not liable for damages arising from product misuse or violation of local building codes.
7. Intellectual Property
All content, including product images, graphics, logos, and marketing materials, are the property of Golden Lighting. Use or reproduction is prohibited without prior written consent.
8. General Conditions
- Golden Lighting reserves the right to update or modify these Terms at any time.
- Continued purchasing constitutes acceptance of the most current Terms.
- Any deviation from these Terms must be in writing and signed by both parties.
